1. Acceptance of Terms

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using Make Good Habits (the "App"), you agree to be legally bound by these Terms of Service ("Terms"), whether or not you register as a user.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE APP. YOUR USE OF THE APP CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO ABIDE BY EACH OF THESE TERMS.

We reserve the right to modify these Terms at any time without prior notice. Your continued use of the App following any changes constitutes your acceptance of the revised Terms.

2. Description of Service

Make Good Habits is a personal habit tracking application. The App is provided for general informational and personal productivity purposes only. The App is not intended to provide medical, health, psychological, or professional advice of any kind.

We reserve the right to modify, suspend, or discontinue the App or any part thereof at any time, with or without notice, and without liability to you.

3. User Account and Registration

To use certain features, you must create an account. By creating an account, you represent and warrant that:

• You are at least 13 years of age (users under 18 must have parental consent)
• All registration information you provide is truthful and accurate
• You will maintain the accuracy of such information
• Your use of the App does not violate any applicable law or regulation

YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR ACCOUNT AND PASSWORD AND FOR ALL ACTIVITIES THAT OCCUR UNDER YOUR ACCOUNT. WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO PROTECT YOUR ACCOUNT.

4. User Content and Data

You retain ownership of the data you create in the App. However, by using the App, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your data solely for the purpose of providing and improving the App.

YOU ARE SOLELY RESPONSIBLE FOR YOUR DATA AND FOR MAINTAINING BACKUP COPIES. WE ARE NOT RESPONSIBLE FOR ANY LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO YOUR DATA.

5. Acceptable Use Policy

You agree NOT to:

• Use the App for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the App's functionality or servers
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Use automated tools, bots, or scripts to access the App
• Transmit viruses, malware, or any harmful code
• Collect or harvest any information from the App or other users
• Use the App in any manner that could damage, disable, or impair the App

Violation of this policy may result in immediate termination of your account without refund.

6. Subscriptions, Payments, and No Refund Policy

Certain features may require a paid subscription or one-time purchase. By making any purchase, you agree to the following:

• Pay all applicable fees and charges at the time of purchase
• Subscriptions automatically renew unless canceled at least 24 hours before the renewal date
• We may change prices at any time with 30 days notice

NO REFUND POLICY

ALL PURCHASES AND SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE. WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY REASON, INCLUDING BUT NOT LIMITED TO: PARTIAL SUBSCRIPTION PERIODS, UNUSED FEATURES, DISSATISFACTION WITH THE APP, ACCOUNT TERMINATION, OR CHANGE OF MIND.

By making a purchase, you expressly acknowledge and agree that:

• All sales are final and no refunds will be issued under any circumstances
• No refunds for cancellation before the end of a billing period
• No refunds for unused features or non-use of the App
• No refunds for dissatisfaction with the App
• No refunds if your account is terminated for any reason
• No refunds for technical issues or service interruptions

Cancellation takes effect at the end of the current billing period. No partial refunds will be provided. For purchases made through App Store or Google Play, their refund policies apply and we have no control over their decisions.

7. Intellectual Property

The App and all content, features, and functionality (including but not limited to design, text, graphics, logos, icons, images, audio, video, software, and code) are owned by Make Good Habits and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the App without our express written permission.

8. Third-Party Services

The App may contain links to or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of any third-party services.

YOUR USE OF THIRD-PARTY SERVICES IS AT YOUR OWN RISK. WE DISCLAIM ALL LIABILITY FOR ANY DAMAGE OR LOSS ARISING FROM YOUR USE OF THIRD-PARTY SERVICES.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT: (A) THE APP WILL MEET YOUR REQUIREMENTS; (B) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE APP WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN THE APP WILL BE CORRECTED; OR (E) THE APP IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

You acknowledge that we have no control over and no duty to take any action regarding what effects the App may have on you or how you interpret or use the App.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAKE GOOD HABITS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100 USD).

THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Assumption of Risk

You expressly acknowledge and agree that your use of the App is at your sole risk. You assume full responsibility for:

• All decisions made based on information obtained through the App
• Maintaining the security of your account and devices
• Creating and maintaining backups of your data
• Any consequences resulting from your use or inability to use the App
• Any loss of data, regardless of cause

12. Indemnification

You agree to indemnify, defend, and hold harmless Make Good Habits and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to:

• Your use or misuse of the App
• Your breach of these Terms
• Your violation of any law or the rights of any third party
• Any content you submit or transmit through the App
• Any claims made by third parties arising from your use of the App

13. Account Termination

We reserve the right to suspend or terminate your account and access to the App at any time, for any reason or no reason, with or without notice, and without liability to you. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Request by law enforcement or government agency
• Extended periods of inactivity
• Discontinuation of the App

UPON TERMINATION, YOUR RIGHT TO USE THE APP CEASES IMMEDIATELY. NO REFUNDS WILL BE PROVIDED FOR ANY REASON.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to these Terms or the App shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in New York County, New York, for any actions arising out of or relating to these Terms or the App.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New York, New York. The arbitrator's decision shall be final and binding.

CLASS ACTION WAIVER: YOU AND MAKE GOOD HABITS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

JURY TRIAL WAIVER: YOU AND MAKE GOOD HABITS HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms. The invalidity of any provision shall not affect the validity of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Make Good Habits regarding your use of the App and supersede all prior agreements, understandings, and communications, whether written or oral.

18. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing and signed by an authorized representative of Make Good Habits.
